It was filed in accordance with the terms of the Company’s limited liability company operating agreement in order to become a “voluntary filer” with the SEC. The filing is unrelated to any possible offer or sale of the Company’s securities. Chrysler Group has not filed and does not have a planned timing for filing a Form S-1 registration statement for an initial public offering with the SEC.
